McCormick & Company, Incorporated (the “Company”) is filing as Exhibit 5.1 to this Current Report on Form 8-K an opinion and consent of Wilmer Cutler Pickering Hale and Dorr LLP, counsel to the Company, regarding the validity of the shares of Company common stock, par value $0.01 per share, and common stock non-voting, par value $0.01 per share (collectively, the “Shares”), to be offered pursuant to the Company’s Investor Services Plan, as amended (the “Plan”). The Shares are registered pursuant to the Company’s Registration Statement on Form S-3 (Registration No. 333-271070) and the base prospectus contained therein. A prospectus supplement relating to the offering of the Shares under the Plan has been filed with the Securities and Exchange Commission on September 22, 2023.
